Abstract: Nowadays, the research the practice about the outside directors’ salary mainly focus on direct payment, that is, the outside directors interpose the affairs of listed company as outside individuals but they directly draw their salary together with the insiders from the company. However, basing on the science of law and psychology to analyse , the regulation of direct payment is corroding the outside directors’ independence, in fact, and further endanger the corporate governance. On one hand, it’s the outside directors’ special character that provoke to set up the regulation
of indirect payment; on the other hand, it’s indispensable to establish rules of indirect payment to ensure the outside directors’ independence and perfect the corporate governance.
